1. Agreement to Terms

By accessing or using the services provided by FMVENDING LLC ("Company," "we," "us," or "our"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Description of Services

FMVENDING LLC provides an automated missed call text-back service ("Service") designed for local trade businesses. The Service includes:

• Automated text message responses to missed calls
• A dedicated local phone number
• Customizable text message content
• Monthly performance reporting

3. Subscription and Billing

The Service is offered on a monthly subscription basis at the rate displayed on our website at the time of purchase. By subscribing, you authorize FMVENDING LLC to charge your payment method on a recurring monthly basis.

• Payments are processed securely through Stripe.
• Subscriptions renew automatically each month until cancelled.
• You may cancel your subscription at any time through your Stripe billing portal or by contacting us at info@fmvending.net.
• Cancellations take effect at the end of the current billing period. No partial refunds are issued for the remaining days in a billing cycle.

4. Refund Policy

We do not offer refunds for partial months of service. If you believe you have been incorrectly charged, please contact us at info@fmvending.net within 14 days of the charge, and we will review your case.

5. Acceptable Use

You agree to use the Service only for lawful business purposes. You shall not:

• Use the Service to send spam, unsolicited messages, or messages that violate any applicable law
• Use the Service to harass, threaten, or defraud any person
• Provide false or misleading information in your text-back messages
• Resell, sublicense, or redistribute the Service without our written consent
• Use the Service in any way that could damage, disable, or impair our systems

6. Customer Responsibilities

You are responsible for:

• Ensuring your use of the Service complies with all applicable federal, state, and local laws, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act
• Obtaining any necessary consent from individuals who may receive automated text messages through the Service
• The content of your customized text-back messages
• Maintaining the accuracy of your account information

7. Service Availability

We strive to maintain 99.9% uptime for our Service. However, we do not guarantee uninterrupted or error-free service. We are not liable for any temporary service interruptions due to maintenance, updates, or circumstances beyond our control.

8. Intellectual Property

All content, trademarks, and technology associated with the Service are the property of FMVENDING LLC. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your active subscription.

9. Limitation of Liability

To the maximum extent permitted by law, FMVENDING LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless FMVENDING LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, upon notice to you. Upon termination, your right to use the Service ceases immediately. Sections regarding limitation of liability, indemnification, and governing law survive termination.

12. Modifications to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised effective date. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in New Jersey.
